The Trust Deed for AusIran Charity
This Declaration of Trust is made the 11th day of June 2009 as the first trustee for AusIran charity. Now this deed witnesses as follows:
1. Administration
There shall be three trustees of the charity. These shall be the Chairman, Treasurer and Secretary of the Board of Trustees.
a) The specific roles of the trustees may be switched around at any time as desired by the trustees; this shall be infrequent.
b) The trustees shall remain trustees until they decide to resign their trusteeship; they should do so if they feel that they are unable to carry out their duties satisfactorily.
c) In the event of a trusteeship falling vacant, a replacement shall be selected by the remaining trustees from among the associates of the charity.
d) All voting shall be performed by a simple majority vote of the trustees; the number for quorum shall be two, unless the number of trustees falls through misadventure below two, when the quorum shall be one.
2. Name
The Charity shall be called ‘AusIran Charity’ in regards to collecting donations from Australians including but not limited to Iranian community in Australia for poor Iranian children inside Iran.
3. Powers
In addition to any other powers which trustees have, they may exercise the following powers in furtherance of the objects of the charity:
a) Power to invite new members, promote charity activities and receive contributions
b) To raise funds. In exercising this power the Trustees must not undertake any substantial permanent trading activity and must comply with any relevant statutory regulations
c) To co-operate with other charities voluntary bodies and statutory authorities and to exchange information and advice with them
d) To support any charitable trusts associations or institutions formed for any of the charitable purposes included in the objects
e) To invite volunteers who are required for the carrying out the work of the Charity
f) To do any other lawful thing that is necessary or desirable for the achievement of the objects.
4. Application of Income
The Trustees must apply the income of the Charity in furthering the following objects (‘the objects’):
a) Saving the lives of ill children in Iran who can not afford their treatment costs. It includes but not limited to surgery operations, organ transplants, etc.
b) The provision of medical services or medications for poor children in Iran.
c) Saving the lives of terminally ill adult Iranian who are not covered by any insurance or social treatment services.
d) This object shall be achieved by providing financial assistance to individuals and families introduced by other organizations or charities in Iran.
5. Accounts
The Treasurer shall have authority to maintain the bank account as he or she shall deem necessary. All three trustees shall be sole signatories on the account; however, in most cases only the treasurer shall deal with income and expenditure.
6. Personal interest
No trustee or associate may:
a) receive any benefit in money or in kind from the charity
b) have a financial interest in the supply of goods or services to the charity
This does not apply to the payment to any trustee or associate of reasonable out-of-pocket expenses needed for the business of the charity.
7. Expenses
The Trustees may use the Charity’s funds to meet any necessary and reasonable expenses which they incur in the course of carrying out their responsibilities as Trustees of the Charity.
8. Appointment of Trustees
The Trustees must hold at least two ordinary meetings each year. One such meeting in each year must involve the physical presence of current Trustees. Other meetings may take the form of videoconferencing or such other medium as the Trustees decide provided that the form chosen enables the Trustees to both see and hear one another.
9. Monthly Report and statements
The Trustees must comply with their obligations with regard to:
a) keeping of accounting records for the Charity
b) preparation of monthly statements of account for each contributor of the charity
c) transmission of the statements of account of the Charity to the Commission
d) preparation of monthly report and its transmission to all contributors
10. Amendment of Trust Deed
The Trustees may amend the provisions of this deed provided:
a) No amendment may be made to clause 4 (Application of Income), clause 6 (Personal Interest) or this clause without the prior consent in writing of the Commission
b) No amendment may be made whose effect is that the Charity ceases to be a Charity at law
c) Any amendment of this deed must be made by deed following a decision of the Trustees made at a special meeting
d) The Trustees must send to the Commission a certified copy of the deed effecting any amendment made under this clause within three months of it being made
11. Dissolution
In the event of the organization being dissolved, the amount that remains after such dissolution and the satisfaction of all debts and liabilities shall be transferred to another organization with similar purposes which is not carried on for the profit or gain of its individual members.
